06

Client Engagements, Fees, and Payment

6.1 Scope and fees. The applicable written proposal, service agreement, or invoice will identify the agreed services, fees, payment schedule, and any relevant exclusions or assumptions.

6.2 Payment obligations. You agree to pay all amounts in accordance with the payment terms specified in the applicable agreement or invoice.

6.3 Additional services. Work outside the agreed scope, including additional inspections, site visits, revisions, sampling, expedited services, or responses to changed project conditions, may incur additional charges when authorized under the applicable agreement.

6.4 Expenses and third-party costs. Government filing fees, laboratory fees, permit fees, travel expenses, and other third-party costs will be handled as specified in the applicable proposal or service agreement.

6.5 Late payments. Overdue amounts may be subject to lawful interest or other charges expressly agreed to in writing. Where permitted by the applicable agreement and law, we may suspend non-emergency services after providing any required notice and opportunity to cure.

6.6 Refunds and cancellations. Fees for completed work, work in progress, committed third-party expenses, and cancellation charges will be handled according to the applicable service agreement and applicable law. No provision in these Terms is intended to waive a refund or other right that cannot legally be waived.

6.7 Client information. You are responsible for providing accurate, complete, and timely project information, relevant permits and records, site access, and necessary authorizations. Delays or additional work resulting from incomplete or inaccurate information may affect the schedule and cost of services.

07

Intellectual Property and Client Deliverables

7.1 Website content. Unless otherwise stated, the text, graphics, logos, images, documents, and other materials published on the Site are owned by or licensed to SoCal Stormwater Solutions and are protected by applicable intellectual property laws.

You may not reproduce, modify, distribute, or commercially use these materials without permission, except as permitted by law.

7.2 Client deliverables. Ownership of project-specific SWPPPs, reports, drawings, plans, and other deliverables will be governed by the applicable service agreement and any applicable legal requirements.

Unless otherwise agreed in writing, SoCal retains ownership of its pre-existing templates, methodologies, proprietary tools, and general professional know-how. Upon full payment, the client receives the rights to use the final deliverables as specified in the service agreement and for their intended project and compliance purposes, subject to applicable law and any third-party rights.

7.3 Third-party materials. Documents, maps, data, software, and other materials owned by third parties remain subject to their respective ownership rights and licensing restrictions.

7.4 Feedback. We may use general suggestions or feedback about our Site and services to improve our offerings, provided that we do not disclose confidential client information or personal information in violation of applicable law.

08

Third-Party Platforms, Agencies, and Information

Our services may involve third-party platforms, laboratories, consultants, government agencies, permit portals, and other service providers.

We do not control the availability, processing times, technical operation, decisions, or policies of third parties. Except as expressly agreed in writing or required by law, we are not responsible for delays, outages, changes in requirements, or decisions attributable to third parties.

Regulatory agencies retain their own authority to review applications, issue permits, request corrections, conduct inspections, and determine compliance.

We will exercise the level of professional care required by the applicable service agreement and law when performing our services, but we cannot guarantee that a government agency will approve a submission or make a particular decision within a specified period.

Information published by third parties or government agencies may change. Clients remain responsible for reviewing requirements applicable to their particular projects, with our assistance where contracted.

09

Disclaimers and Regulatory Responsibilities

9.1 General information. Information on the Site is provided for general informational purposes. It is not a substitute for project-specific professional advice, a permit, an agency determination, or a legal opinion.

9.2 Site-specific conditions. Stormwater requirements depend on factors including project location, site characteristics, construction activities, industrial operations, applicable permits, and current regulations. No general statement on the Site should be treated as a determination of the requirements for a particular project.

9.3 Professional services. We will perform contracted services in accordance with the applicable agreement and the professional standards and legal requirements applicable to those services. We do not guarantee that a project will never experience a discharge, inspection finding, enforcement action, delay, fine, or other regulatory issue.

9.4 Client responsibilities. Unless the applicable service agreement expressly assigns a particular task to SoCal, the property owner, permittee, operator, contractor, or other responsible party remains responsible for its own legal and permit obligations. These may include implementing required BMPs, maintaining site conditions, providing accurate information, granting access, following permit conditions, and responding to agency directions.

9.5 No automatic transfer of responsibility. Hiring SoCal does not automatically transfer a client’s statutory, regulatory, operational, or permit responsibilities to SoCal. The parties’ actual responsibilities are determined by applicable law, permit requirements, and the written service agreement.

9.6 No guarantee of outcomes. Any estimates, expected timelines, preliminary assessments, or descriptions of potential outcomes are based on the information available at the time and are not guarantees of agency approval, project completion dates, or a particular regulatory result.

Nothing in these Terms excludes a warranty, duty, or liability that applicable law does not permit us to exclude.

10

Limitation of Liability

To the maximum extent permitted by applicable law, neither party will be liable to the other for indirect, incidental, special, exemplary, punitive, or consequential damages arising from the Site or services, including loss of profits, revenue, business opportunities, or data, except to the extent such damages cannot legally be excluded or arise from liability that cannot lawfully be limited.

To the extent permitted by law, SoCal’s aggregate liability arising out of a particular service engagement will be governed by the applicable written service agreement. If no enforceable limitation is specified in that agreement, liability will be determined under applicable law.

Nothing in these Terms is intended to limit liability for fraud, willful misconduct, gross negligence where such limitation is prohibited, or any other liability that cannot legally be limited or excluded.

This section does not create a limitation of liability that is otherwise unenforceable under applicable law.

11

Indemnification

To the extent permitted by applicable law, each party will be responsible for claims, losses, damages, and reasonable costs to the extent caused by its own breach of the applicable agreement, negligence, willful misconduct, or violation of law.

Where appropriate and expressly agreed in a written service agreement, the client may be required to indemnify SoCal against third-party claims arising from the client’s unlawful conduct, material misrepresentations, misuse of deliverables, or breach of its obligations, except to the extent caused by SoCal’s negligence, willful misconduct, breach of contract, or other conduct for which indemnification would be prohibited by law.

Any duty to defend, indemnification procedure, allocation of responsibility, and related insurance requirements should be set out in the applicable service agreement.

Nothing in this section requires either party to indemnify the other for liability that applicable law prohibits it from shifting.

12

Suspension and Termination

12.1 Website access. We may suspend or restrict access to the Site where reasonably necessary because of security concerns, unlawful activity, misuse, or a violation of these Terms.

12.2 Service termination. Termination of a client engagement will be governed by the applicable service agreement, including any notice requirements, cure periods, outstanding payments, cancellation fees, and handover obligations.

12.3 Regulatory and safety concerns. Where permitted by the applicable agreement and law, we may suspend affected services if site access is unsafe, necessary information is unavailable, required authorizations are missing, or continued performance would violate applicable law or professional obligations. We will provide notice where required or reasonably practicable.

12.4 Consequences of termination. Upon termination, each party will fulfill any surviving obligations under the applicable agreement, including payment for authorized work performed, protection of confidential information, and transfer of deliverables as required by the agreement.

Provisions that by their nature should survive termination, including applicable intellectual property, payment, confidentiality, liability, and dispute provisions, will survive to the extent permitted by law.

13

Governing Law and Dispute Resolution

These Terms will be governed by the laws of the State of California and applicable federal laws of the United States, without regard to conflict-of-law principles, except where mandatory law requires otherwise.

The parties are encouraged to attempt to resolve disputes in good faith through direct communication before commencing formal proceedings, unless urgent relief or a legal deadline requires earlier action.

Any court proceeding relating to these Terms will be brought in a court of competent jurisdiction as determined under applicable law, subject to any valid dispute-resolution provision in a separate written service agreement.

Nothing in this section waives any non-waivable consumer protection, privacy, employment, or other legal right.

If a separate service agreement contains an enforceable dispute-resolution or venue provision, that provision will govern the relevant service engagement to the extent of any conflict.

14

Changes to These Terms

We may update these Terms from time to time to reflect changes in our services, website, business practices, or legal requirements.

The revised version will be posted on the Site with an updated “Last Updated” date. Changes to website terms generally apply from the effective date stated in the revised Terms, subject to applicable law.

Changes to an existing client engagement will not automatically modify a signed service agreement. Any required amendments to that agreement must be made in accordance with its terms and applicable law.

We encourage visitors and clients to review this page periodically.

Severability and Entire Agreement

If any provision of these Terms is found to be invalid or unenforceable, that provision will be limited or severed to the minimum extent necessary, and the remaining provisions will continue in effect to the extent permitted by law.

These Terms, together with our applicable Privacy Policy and any applicable written service agreement, constitute the terms governing your use of the Site and the matters addressed herein.

For a specific client engagement, the applicable signed proposal, service agreement, or statement of work will govern project-specific matters, including the scope of services, fees, deliverables, schedules, and responsibilities, where it conflicts with these general Terms.

No failure or delay in exercising a right under these Terms constitutes a waiver of that right unless the waiver is validly made under applicable law.
